1. Acceptance of Terms
Welcome to OG Project Partners Inc. ("OGPP", "we", "us", or "our").
These Terms of Service ("Terms") govern your access to and use of our website, consulting services, AI-powered systems, automation solutions, training programs, digital resources, workshops, and related business services.
By accessing our website, booking a consultation, submitting forms, purchasing services, attending workshops, using our AI-enabled tools, or otherwise engaging with OGPP, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
If you do not agree with these Terms, you must discontinue use of our website and services immediately.
2. Business Information
OG Project Partners Inc. is a federally registered Canadian corporation providing:
- AI automation consulting
- Workflow automation implementation
- SME operational consulting
- Business systems optimization
- QuickBooks advisory services
- Digital transformation consulting
- Fractional AI & operations advisory
- AI workshops and training
- Business process documentation
- Automation strategy and implementation
3. Eligibility
You represent and warrant that:
- You are at least 18 years of age
- You have legal authority to enter into agreements
- You are using our services for lawful business purposes
- Information provided to OGPP is accurate and complete
4. Scope of Services
The specific scope, deliverables, pricing, timeline, milestones, and responsibilities for any engagement will be defined in:
- A proposal
- Statement of Work ("SOW")
- Service agreement
- Retainer agreement
- Workshop registration
- Written engagement confirmation
No consulting engagement shall begin until both parties confirm the scope and applicable fees.
5. Discovery Calls & Consultations
OGPP may offer complimentary introductory discovery calls intended solely for preliminary business assessment and consultation.
Discovery calls:
- Do not constitute formal consulting advice
- Do not establish an ongoing advisory relationship
- May be limited in duration and scope
- Are subject to scheduling availability
OGPP reserves the right to refuse or reschedule consultations at its discretion.
6. Fees, Billing & Payment Terms
6.1 Pricing
- All fees are quoted in Canadian Dollars (CAD)
- Taxes may apply where required by law
- Pricing may change without notice for future engagements
6.2 Payment Structure
- Upfront deposits
- Milestone payments
- Monthly retainers
- Workshop registration fees
- Subscription fees
- Project-based pricing
Standard project engagements may require 50% upfront before work begins and the remaining balance before final delivery.
6.3 Accepted Payment Methods
- Stripe
- TD Merchant Solutions
- QuickBooks Payments
- Interac e-Transfer
- Moneris
- Other approved processors
OGPP does not store banking credentials or complete payment card details.
6.4 Late Payments
- Accrue interest at 1.5% per month (18% annually)
- Result in suspension of services
- Delay project delivery
- Result in termination of engagement
The client is responsible for all reasonable collection costs where applicable.
7. Refunds & Cancellations
7.1 Discovery Calls
Free discovery calls are non-refundable because no fee is charged.
7.2 Paid Consulting Services
Refunds for consulting services may be considered only where:
- Work has not yet commenced
- Deliverables have not yet been provided
- Cancellation occurs before significant project effort
Approved refunds may be prorated based on work already completed.
7.3 Non-Refundable Services
The following are generally non-refundable once delivered or substantially initiated:
- Custom automation systems
- Workflow implementations
- AI prompt libraries
- SOP development
- Workshops and training sessions
- Digital products
- Templates
- Strategy documents
- Custom reports
- Advisory services already rendered
8. Client Responsibilities
Clients agree to:
- Provide accurate information
- Respond to requests in a timely manner
- Provide necessary system access
- Participate in required meetings
- Review deliverables promptly
- Maintain backups where appropriate
- Comply with applicable laws and platform policies
Project delays caused by lack of client responsiveness may affect delivery timelines.
9. AI-Powered Services & Responsible Use
OGPP may utilize AI-assisted technologies to improve operational efficiency, workflow automation, reporting support, content generation, customer support, and consulting delivery.
Important AI Disclaimer
AI-generated outputs:
- Require human review
- Are not guaranteed to be error-free
- Should not be solely relied upon for legal, financial, tax, or regulatory decisions
- Are intended to support—not replace—professional judgment
Clients remain responsible for reviewing and approving business decisions, operational changes, financial records, and strategic actions.
10. Third-Party Platforms & Services
OGPP services may integrate or rely upon third-party platforms, including but not limited to:
- QuickBooks
- HubSpot
- Calendly
- Stripe
- TD Merchant Solutions
- Google Workspace
- OpenAI/ChatGPT
- Make.com
- Zapier
- Airtable
- Notion
- Social media platforms
OGPP is not responsible for third-party outages, API limitations, pricing changes, platform policy changes, security incidents outside our control, service interruptions, or vendor discontinuations. Clients are responsible for maintaining their own third-party subscriptions where required.
11. Confidentiality
Both parties agree to maintain confidentiality regarding all non-public information disclosed during an engagement.
Confidential information may include:
- Business operations
- Financial information
- Technical systems
- Workflows
- Client lists
- Strategies
- Proprietary processes
- Credentials
- Internal documentation
Confidentiality obligations survive termination of the engagement.
12. Intellectual Property
12.1 OGPP Intellectual Property
OGPP retains ownership of:
- Methodologies
- Frameworks
- Templates
- SOP structures
- Training systems
- AI prompt libraries
- Operational models
- Automation frameworks
- Internal processes
- Branding materials
12.2 Client Deliverables
Upon full payment, clients receive a non-exclusive internal-use license for custom deliverables specifically developed under a paid engagement unless otherwise stated.
Clients may not:
- Resell OGPP proprietary frameworks
- Redistribute templates commercially
- Claim ownership of OGPP methodologies
- Reverse engineer proprietary systems
13. Website Use Restrictions
Users may not:
- Attempt unauthorized access
- Interfere with website operations
- Use the website unlawfully
- Upload malicious code
- Scrape or copy content without permission
- Misrepresent identity or affiliation
OGPP reserves the right to restrict or terminate website access where misuse is detected.
14. Limitation of Liability
To the fullest extent permitted by law, OGPP shall not be liable for:
- Indirect damages
- Consequential damages
- Incidental damages
- Lost profits
- Business interruption
- Data loss
- Operational disruption
- Third-party platform failures
Total liability for any claim related to an engagement shall not exceed the total fees paid by the client to OGPP during the three (3) months preceding the event giving rise to the claim.
15. No Guarantee of Results
While OGPP aims to improve operational efficiency and business performance, we do not guarantee:
- Revenue increases
- Profitability improvements
- Specific automation outcomes
- Business growth results
- Regulatory approvals
- Financial outcomes
Results depend on multiple external and internal business factors beyond our control.
16. Indemnification
Clients agree to indemnify and hold harmless OGPP, its directors, officers, contractors, and affiliates from claims, liabilities, losses, damages, and expenses arising from:
- Client misuse of services
- Inaccurate information provided by the client
- Unauthorized system changes
- Violations of law
- Third-party claims related to client operations
17. Termination
Either party may terminate an engagement in accordance with the applicable Statement of Work or written agreement.
Upon termination:
- Fees for completed work remain payable
- Outstanding invoices become immediately due
- Access to certain deliverables or systems may be suspended pending payment
- Confidentiality obligations remain in effect
18. Force Majeure
OGPP shall not be liable for delays or failure to perform resulting from events beyond reasonable control, including:
- Internet outages
- Platform failures
- Natural disasters
- Government actions
- Cybersecurity incidents
- Labor disruptions
- Utility failures
19. Data Privacy
Use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in the Privacy Policy.
20. Modifications to Terms
OGPP reserves the right to modify these Terms at any time. Updated Terms become effective upon posting to our website. Continued use of our services after updates constitutes acceptance of the revised Terms.
21. Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada. Any disputes shall be resolved exclusively in the courts of Alberta, Canada.
22. Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
23. Entire Agreement
These Terms, together with any applicable proposal, Statement of Work, Privacy Policy, or service agreement, constitute the entire agreement between the parties regarding the use of OGPP services.
