Terms of Use and Service

1. Agreement and eligibility

By accessing or using a service, creating an account, checking an acceptance box or purchasing a product, you agree to these Terms and the incorporated policies. If you act for an organization, you represent that you are authorized to bind it. You must have reached the age of majority in your jurisdiction and be legally capable of entering a contract. If you do not agree, do not use the service.

2. OGPP services

OGPP provides business advisory, project support, technology and implementation support, training, shared operational resources, digital products and AI-assisted Strategy Advisor capabilities. Descriptions are general and do not create a commitment to provide a feature, regulated service, outcome or implementation unless confirmed in writing. OGPP may modify, suspend or discontinue a service or feature, subject to contractual and mandatory legal obligations.

3. Accounts and security

• Provide accurate and current information and keep it updated.
• Keep credentials confidential, use appropriate security controls and promptly report suspected unauthorized access.
• You are responsible for activity through your account unless applicable law provides otherwise.
• Do not share a personal account or bypass plan, seat, geographic, security or technical limits.
• OGPP may require identity, authority or payment verification and may suspend access when reasonably necessary to protect users, OGPP or the service.

4. Fees, billing and taxes

Prices, billing intervals, included usage, currency, taxes and renewal terms will be shown at checkout or in the applicable agreement. Unless stated otherwise, prices exclude applicable taxes.

OGPP will not add undisclosed mandatory non-government charges to an advertised price. You authorize the applicable provider to charge the payment method for amounts due, including recurring charges you expressly accept.

For professional services, deposits, milestones, late-payment terms and reimbursable expenses are governed by the proposal or service agreement.

5. Subscriptions and cancellation

A recurring subscription continues for the selected billing period until cancelled. The checkout flow must disclose whether renewal is automatic, the renewal frequency, the price or calculation method, and how to cancel. Cancellation stops future renewal charges but normally does not reverse a charge already incurred or provide a prorated refund, except where the applicable cancellation policy, a written offer or applicable law provides otherwise. Strategy Advisor memberships are managed on the Strategy Advisor platform.

6. Acceptable use

You may not use an OGPP service to violate law, infringe rights, submit information without authority, distribute malware, evade controls, interfere with service integrity, generate deceptive or harmful content, conduct unauthorized surveillance, send spam, or make prohibited high-impact decisions. Automated access, scraping, resale, sublicensing and white-labelling require prior written authorization.

7. User content and permissions

You retain ownership of content you lawfully submit. You grant OGPP and its service providers a limited, non-exclusive licence to host, copy, process, transmit, format and display that content only as reasonably necessary to provide, secure, support and improve the service, comply with law and enforce these Terms. This licence ends when the content is deleted from active systems, subject to backups, legal retention and de-identified information.

You represent that you have all rights, permissions and lawful authority needed to submit the content and permit this processing. You remain responsible for the content, instructions and decisions you make from outputs.

8. OGPP intellectual property

The services, software, interface, branding, methodologies, templates, documentation and other OGPP materials are owned by OGPP or its licensors and protected by applicable intellectual-property laws. Except for the limited right to use a purchased service for its intended internal purpose, no rights are granted. “OGPP”, division names, logos and “Your Vision, Our Expertise.” may not be used without written permission.

Unless a written agreement says otherwise, deliverable ownership and licence terms are governed by the applicable engagement. Generic OGPP tools, pre-existing materials, know-how and improvements remain OGPP property; client-specific content remains subject to the agreed licence and confidentiality terms.

9. AI-assisted outputs

Some outputs are generated or assisted by artificial intelligence. They may be incomplete, outdated, inaccurate, biased, inconsistent or unsuitable. Outputs are preliminary unless an authorized OGPP professional expressly reviews and approves them in writing. You must independently verify material facts and obtain qualified advice before external submission, investment, lending, employment, legal, tax, medical, immigration, cybersecurity, regulatory or other high-stakes use. The AI and Automated Systems Disclaimer forms part of these Terms.

10. Professional services and no guaranteed outcomes

Information on the website is general. No professional-client relationship arises solely from browsing, submitting a form or using a self-service tool. A professional engagement begins only under a confirmed written scope. OGPP does not guarantee funding, grants, loans, revenue, profit, approval, compliance, market success, investment, regulatory acceptance or implementation results.

11. Third-party services and links

Services may rely on or link to third-party platforms. Their terms, privacy practices, availability and security are controlled by those parties. OGPP is not responsible for third-party services it does not control, though this does not limit responsibilities that cannot lawfully be excluded.

12. Confidentiality

Public website use is not confidential or privileged. Confidentiality for consulting or implementation services is governed by the applicable written agreement. Do not submit confidential or regulated information through a public form or AI feature unless OGPP has expressly approved the channel and purpose.

13. Service availability and changes

We aim to provide reliable services but do not promise uninterrupted or error-free access. Maintenance, incidents, provider outages and changes may affect availability. OGPP may establish reasonable usage, storage, rate or feature limits and will provide notice when required by contract or law.

14. Disclaimers

To the maximum extent permitted by law, the website, self-service tools and general information are provided “as is” and “as available,” without representations or warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability or results. Nothing in these Terms excludes warranties, conditions or rights that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by law, OGPP and its directors, officers, employees, contractors and licensors will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity arising from self-service use. For claims relating to a paid service, OGPP's aggregate liability will not exceed the fees paid to OGPP for the affected service during the twelve months before the event giving rise to the claim. This limitation does not apply to liability that cannot legally be limited, and a signed service agreement may establish a different allocation of risk.

16. Indemnity

To the extent permitted by law, you will indemnify and hold OGPP harmless from third-party claims, losses and reasonable costs arising from your unlawful use, your content, your infringement of third-party rights or your material breach of these Terms. This provision does not require a consumer to indemnify OGPP for OGPP's own negligence or conduct where prohibited by law.

17. Suspension and termination

You may stop using the service and cancel as described in the applicable policy. OGPP may restrict or terminate access for material breach, non-payment, security risk, illegal activity, harm to others or discontinuation of a service. Where appropriate, OGPP will give notice and an opportunity to cure. Provisions that by nature should survive termination, including payment, intellectual property, disclaimers, liability, dispute and confidentiality provisions, will survive.

18. Governing law, disputes and consumer rights

These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to mandatory consumer rights, the courts located in Calgary, Alberta will have exclusive jurisdiction. Nothing in these Terms requires a consumer to waive a statutory right, remedy, venue or protection that cannot lawfully be waived. Before filing a claim, the parties should attempt in good faith to resolve it by written notice to askme@ogprojectpartners.ca.

19. Changes, contact and entire agreement

We may update these Terms prospectively. Material changes will be communicated as required, and continued use after the effective date constitutes acceptance where permitted. If a provision is unenforceable, it will be limited or severed without affecting the remainder. Failure to enforce a term is not a waiver.
